что удивительно, несет по поводу неэффективного корпоративного управления совершенно позорную пургу. Надо, мол, принять новые ограничительные законы, запрещающие корпорациям делать то и это (poison pill, staggered board, advance notice и проч.). Все это -- ни больше, ни меньше -- во имя общественного блага: как же, ведь столько американцев владеют акциями того и сего.

Про то, чтобы ликвидировать запрет на insider trading, снять ограничения на short sales и упростить takeovers (ликвидировав обязательность обнародовать позиции выше 5% и объявлять тендер) -- ни слова.
